New Business Paperwork

Starting a business is a major endeavor requiring a lot of patience and paperwork. Without the right forms, the process can turn into a nightmare. So what paperwork does one need to start a business?

  1. Articles of Incorporation or Organization

The first paperwork to be filed has to do with what type of business entity the business will assume. Each business entity has their own advantages and disadvantages regarding liability, taxes and other items. If unsure, contact a business attorney to determine which would best fit the business’s needs. These documents usually require the company name, its purpose, mailing address and principal officers.

  1. Certificate of Assumed Name

In the event that the business is a proprietorship, the owner fills out a certificate of assumed name and pays a fee at the county clerk’s office. However, with unincorporated partnerships that do not use a limited-liability partnership, a signed agreement must be completed before filing this certificate.

  1. Employer Identification Number

The next step is to obtain an EIN from the IRS. It is the basic tax ID of a business or nonprofit entity. This step is fairly easy because business owners can simply go online to the IRS website and fill out the form to get an EIN immediately.

  1. Profession Licenses

For certain trades such as plumbers, child-care providers, and more, licenses are required. Be sure to check with the state’s business-services office to verify whether a special license is required before the business is opened. Sometimes individual employees will need a professional license as a condition of employment in the industry as well.

  1. Local Licenses

Often, counties and cities will require specific licenses for businesses in addition to the state’s requirements. Most commonly this will be a sales-tax permit. Be sure to check with the county and city clerks to see if any licenses or permits are required for the business. A business operating without them can get into an expensive bind.
